Mutual Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement (the "Agreement") is entered into between Prokriti ("Prokriti") and you, the user of our services ("User"). Both parties may be referred to as a "Party" or collectively as the "Parties."

1. Purpose

The purpose of this Agreement is to facilitate the relationship between Prokriti and the User in connection with the User's purchase of goods and use of services from Prokriti's e-commerce website (the "Service"). In the course of this relationship, it may be necessary for both Parties to share certain confidential information, which this Agreement is intended to protect from unauthorized disclosure or use.

2. Definition of Confidential Information

"Confidential Information" means any data or information that is proprietary to the Disclosing Party and not generally known to the public. For Prokriti, this includes, but is not limited to: business strategies, financial information, supplier details, and proprietary software. For the User, Confidential Information includes personal data provided during account registration and checkout, such as name, address, contact information, and order history ("User Data").

3. Obligations of Receiving Party

The Receiving Party agrees that it will:

  • Hold the Confidential Information in strict confidence and take all reasonable precautions to protect it.
  • Not disclose any Confidential Information to any third party, except as required by law or with the prior written consent of the Disclosing Party.
  • Not use any Confidential Information for any purpose other than engaging with the Service (e.g., making purchases, managing an account).
  • Not reverse engineer, decompile or disassemble any software or source code disclosed to it.

4. Exclusions

Confidential Information does not include information that the Receiving Party can demonstrate: (a) was in the public domain at the time of disclosure; (b) was rightfully in the Receiving Party’s possession free of any obligation of confidence; (c) was developed independently without use of the Disclosing Party’s Confidential Information; or (d) is required to be disclosed by law.

5. Term and Termination

This Agreement is effective as long as the User maintains an account or uses the Service. The obligations of confidentiality shall survive the termination of this Agreement for a period of five (5) years. Upon written request, the Receiving Party shall return or destroy all materials containing Confidential Information.

6. No License

Nothing in this Agreement is intended to grant any rights to either Party under any patent, copyright, or other intellectual property right of the other Party, other than the limited right to use the Service as intended.

7. Remedies

Each Party agrees that any breach of this Agreement may cause irreparable harm. Accordingly, the Disclosing Party is entitled to seek injunctive relief to prevent breaches of this Agreement, in addition to any other remedy available at law or in equity.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Prokriti is legally established, without regard to its conflict of law principles.
